    Integral Corporation: Acquisition of Bigtree Technology & Consulting Co., Ltd.

Leading Japanese law firm Nishimura & Asahi advised Integral Corporation and its related funds (“Integral”), a private equity firm that specializes in management buyouts, turnaround, leveraged buyouts, mezzanine, and other minority investments, on their agreement to acquire the shares of Bigtree Technology & Consulting Co., Ltd., a technology/consulting company that designs IT strategies for various industries.

The Nishimura & Asahi team advising Integral in this case was led by partners, Mitsuhiro Harada and Yasunori Ishizaki, assisted by associates, including Tomoaki Sato, working with the firm’s LBO finance team led by partner Takashi Saito.

Since joining the firm, Mitsuhiro Harada has been actively involved in Mergers & Acquisitions and has represented Japanese or non-Japanese buyers or sellers in numerous cross-border transactions in varied industries, including stock and asset acquisitions, private equity and venture capital investments, joint ventures and strategic alliances. He has recently become deeply engaged in international transactions, particularly in assisting Japanese companies with expanding into East and South East Asian markets. In addition, he has provided a broad range of legal services in the field of general corporate matters, including corporate governance issues and civil or commercial disputes.

齋藤 崇

Takashi is a seasoned finance lawyer with experience in various types of financing transactions, including acquisition finance/private equity, venture finance, securitization, real estate finance and asset management, having particular strength in crosscutting financial transactions. By integrating his abundant and wide ranging knowledge and experience, he regularly provides multilateral advice to domestic and international financial institutions, mezzanine investors, private equity funds, venture capital funds, real estate funds and asset management companies. In the field of acquisition finance, where Takashi enjoys an impressive reputation according to Chambers, Legal 500 and IFLR, as a core member of our acquisition finance practice, he has advised our clients in a large number of acquisition financing transactions such as LBO/MBO. His strength has been especially demonstrated in transactions having novel and complex structures. Takashi also has a wide ranging of experience in the field of venture finance. Representing one of the largest Japanese venture capital funds, he has advised on venture capital investments in more than 200 startups around the world including Japan, US, UK, Singapore, Canada, Israel, India, Netherlands and South Korea.

Since joining Nishimura & Asahi in 2006, Yasunori has dealt with various M&A transactions in Japan and overseas. In particular, with respect to transactions involving listed companies, he excels at strategizing flexibly based on the complex circumstances and needs of the parties concerned, and seeing such projects to completion. When handling M&A transactions, he places an emphasis on maximizing the benefit to his clients while giving due consideration to the overall benefit to all of those involved. In addition to the above, Yasunori has advised on defenses against hostile takeovers and responses to shareholder activism for companies such as Toshiba Machine (currently Shibaura Machine) and Tokyo Kikai Seisakusho. In recent years, he has also provided advice for the acquisition side of hostile takeovers, with industrial companies as his clients.
