Leading Japanese law firm Nishimura & Asahi advised SPARX Asset Management Co., Ltd. (SPARX) and Japan Monozukuri Mirai Investment Limited Partnership (Monozukuri Fund) managed by SPARX on the acquisition of shares through tender offer in IJTT Co., Ltd. [TSE: 7315], a subsidiary of Isuzu Motors Ltd. [TSE: 7202] by Monozukuri Fund.

His strength has been especially demonstrated in transactions having novel and complex structures. Takashi also has a wide ranging of experience in the field of venture finance. Representing one of the largest Japanese venture capital funds, he has advised on venture capital investments in more than 200 startups around the world including Japan, US, UK, Singapore, Canada, Israel, India, Netherlands and South Korea.

Tatsuya Nakayama is a partner in our M&A and corporate practice and was previously seconded to a top-tier U.S. international law firm. He has represented Japanese and non-Japanese buyers and sellers in numerous domestic and cross-border M&A and other commercial transactions, including financial institutions M&A, strategic alliances, private equity, equity finance, startups and venture capital investments. He also has considerable expertise in strategy planning at all stages from early stage to PMI and advises on a broad range of legal issues in the field of general corporate matters, including corporate governance, and banking and insurance. Leveraging such significant expertise and experience, he provides attentive expert advice in an effective, practical and timely manner. He also has experience serving as an outside officer for private companies and as a lecturer at a prestigious university and law school in Japan.

Before setting up the Bangkok office of Nishimura & Asahi in 2013, he worked with Linklaters for almost a decade. He is also a registered arbitrator of the Thai Arbitration Institute (TAI) with the areas of expertise in corporate M&A, joint venture, banking and finance, capital markets, debt restructurings and energy.
