    Toenec Corporation: Investment in Fuhbic International Corporation

Leading Japanese law firm Nishimura & Asahi advised Toenec Corporation [TSE: 1946], a Japan-based facility management and construction company, on its investment in Fuhbic International Corporation, a Taiwan-based provider of engineering and construction services.

Ing-Chian is a lead partner of our Taiwan practice group. As one of the few Taiwanese lawyers based in Japan, she handles a wide variety of matters for clients that conduct business in relation to Taiwan, such as M&A, finance, real estate, competition law/antitrust law, IP, and other international legal matters.
Notably, she was the first Taiwanese lawyer ever to be registered as a Gaikokuho-Jimu-Bengoshi (Registered Foreign Lawyer in Japan) qualified to practice law in Taiwan. She is based in Japan, but serves as a Co-Representative of our Taipei office, and provides our Japanese and Taiwanese clients with seamless, timely legal support for both their inbound and outbound legal needs.

Hiroki has strong expertise in M&A/joint venture transactions (including cross-border deals with companies in Asia and other countries outside of Japan), Companies Act related projects (advising on decision-making at shareholders’ and board of directors’ meetings, mergers, corporate divisions, and other reorganization procedures), Financial Instruments and Exchange Act related projects (such as preparing various statutory disclosure documents and dealing with prevention of insider trading), and other general corporate legal issues. In addition, he is actively engaged in acting as a contact point in the Tokai region to support our clients with domestic/international disputes, antitrust law related issues, compliance/crisis issues, and other legal issues. As the leading lawyer in our Nagoya office, he works in close collaboration with our lawyers in the Tokyo office, overseas offices, and other our offices, and provides flexible assistance to meet our clients’ business needs in a timely manner.

Isamu IMAIZUMI

In addition to his experience in Vietnam, he has practiced in Tokyo and various other Asian locations, including a secondment to an Indian law firm. 孫 創洲

Chuang-Chou has a LL.B. degree from National Taiwan University and two LL.M. degrees from National Chengchi University and the University of Tokyo. As a Taiwanese lawyer who has experienced working in both Japan and Taiwan, he is familiar with the differences in the Japanese and Taiwanese legal systems and the business processes of Japanese companies. Chuang-Chou specializes in cross-border M&A and the field of renewable energy, as well as in cases involving the corporate laws, labor laws, and consumer protection laws. He handles a wide variety of matters, ranging from contract review to due diligence. Chuang-Chou is proficient in English, Japanese, and Chinese. In addition to being able to comprehensively ascertain his clients’ needs, he also provides them with expert legal support in a timely manner.
