Masato Yamanaka: Executive Profile & Biography
Attended Keio University (LL.B). Registered member of Daini Tokyo Bar Association (2002).
Before joining Nishimura & Asahi in April 2008, Mr. Yamanaka worked for Mitsui, Yasuda, Wani & Maeda; Linklaters (Tokyo); and Miyakezaka Sogo Law Offices, where he focused mainly on finance by handling cases related to capital markets, real-estate securitization, etc. At Nishimura & Asahi, he has extended his experience in various areas by handling cases including global offerings by Japanese companies; third-party allotment of shares, warrants and convertible bonds; consideration of auditors opinion on “favorable issuance” (yuri-hakko); structuring of equity-type securities; etc. He has also advised Japanese companies on stock listing in markets outside of Japan, such as Hong Kong, Singapore, Korea, and Taiwan.
He was seconded to Norton Rose Hong Kong in 2011. Since 2012, he has been working for Nishimura & Asahi (Singapore) LLP where he was appointed and has been serving as co-representative since 2013. In Singapore, he has been extensively assisting Japanese companies regarding business expansion into Asia (notably Singapore and Malaysia), M&A, finance, general corporate affairs, etc. Each case is handled by a tailored team of local lawyers in our Singapore office, and other external firms appropriate for the case.
More recently, Mr. Yamanaka has been working to support non-Japanese companies’ investment in real estate, among others, in the Japanese market by teaming up with Nishimura & Asahi’s Tokyo-based real-estate team.
He has authored publications including “Singapore Entry Strategy Guide Q&A for Japanese Companies” (co-author and co-editor, Chuo Keizai-sha, Inc., 2014); “Capital and Business Alliance” (co-authorship Chuo Keizai-sha, Inc., 2014); and “Practical Business Q&A on Third-party Allotment for Listed Companies” (Shoji Homu, 2011).
